Client Service Agreement & Policies
Effective Date: May 2026 | Subject to change without prior notice
By completing a purchase, submitting a Client Intake Form, or otherwise engaging our services, you acknowledge that you have read, understood, and agree to be bound by all terms set forth herein. This Agreement supersedes any prior oral or written representations.
1. Payment Terms
1.1 All fees for services rendered by The Clovr Stamp are due in full at the time of purchase via an official invoice or through the secure checkout on our website (theclovrstamp.com). We accept all major debit and credit cards through our payment processor.
1.2 All payments are processed in U.S. dollars. Prices are subject to change without notice; the price displayed at checkout is the binding price for that transaction.
1.3 By submitting payment, the Client expressly acknowledges that (a) they are the authorized holder of the payment method used, (b) they have reviewed and accepted these terms in their entirety, and (c) they understand that all sales are final except as expressly stated in Section 2 below.
⚠ Chargebacks & Disputes: Initiating a chargeback or payment dispute for services rendered in accordance with this Agreement constitutes a breach of contract. The Clovr Stamp reserves the right to pursue recovery of disputed funds, associated fees, and any reasonable legal costs incurred as a result of a fraudulent or unwarranted chargeback. Documentation of this Agreement, delivery confirmations, and communication records will be submitted as evidence to the payment processor.
2. Refund & Cancellation Policy
2.1 Due to the custom and intangible nature of creative design services, all sales are final and non-refundable once payment has been submitted and work has commenced.
2.2 Client-Initiated Cancellation: If the Client chooses to cancel a project for any reason after payment has been submitted, no refund will be issued, regardless of the stage of completion. This includes, but is not limited to, changes in business direction, personal circumstances, dissatisfaction with preliminary concepts, or failure to communicate.
2.3 Designer-Initiated Cancellation: In the sole event that The Clovr Stamp cancels a project without cause attributable to the Client, a full or partial refund will be issued at The Clovr Stamp's discretion based on the percentage of work completed at the time of cancellation.
2.4 Should the Client wish to re-engage services following any cancellation, a new full payment will be required before work begins. No credit or carryover from prior payments will be applied.
2.5 Digital Products: All digital downloads, templates, and pre-made designs are non-refundable under any circumstances due to their instant-access nature. The Client is strongly encouraged to review all product descriptions and, if applicable, preview files before purchasing. Questions may be directed to graphics@theclovrstamp.com prior to purchase.
3. Turnaround Time & Delivery
3.1 Standard turnaround time is three (3) to seven (7) business days from the date all required intake materials have been received in full. Rush orders are available at an additional fee and will be completed within two (2) to five (5) business days, subject to availability.
3.2 Turnaround time commences only upon The Clovr Stamp's receipt of: (a) a completed Client Intake Form; (b) all required brand assets, content, and reference materials; and (c) confirmed payment. Incomplete submissions will delay the start of the project clock.
3.3 Turnaround estimates are provided in good faith and do not constitute a guarantee of delivery by a specific date. The Clovr Stamp shall not be liable for delays resulting from incomplete submissions, Client non-responsiveness, technical issues, or circumstances beyond our reasonable control.
3.4 All design proofs and final deliverables are transmitted exclusively through the Client Portal, accessible via email and the website.
4. Revisions
4.1 Each service includes up to three (3) complimentary revision rounds. A revision round is defined as a single set of consolidated, clearly communicated change requests submitted at one time via the designated revision form. Revisions are limited to minor alterations, including:
- Color palette adjustments
- Font substitutions within the approved design
- Minor wording or copy edits (not full content rewrites)
- Layout tweaks within the existing design structure
4.2 Requests that constitute a material change to the design direction, concept, or scope — including full redesigns, changes to the original creative brief, or restructuring of layouts — are not considered revisions and will be subject to a separate redesign fee.
4.3 Additional revisions beyond the three (3) included rounds will be billed at $10.00 per revision round and must be paid prior to implementation.
4.4 Once the Client provides written approval and final files have been delivered, the project is considered complete. Any subsequent edits will require a new service agreement and corresponding fee.
4.5 Revision requests must be submitted within five (5) business days of receiving a design proof. Requests submitted after this period may be treated as a new project.
5. File Delivery & Intellectual Property
5.1 Final deliverables are provided in .JPG and .PNG formats as standard. .PDF format is available upon written request. Editable source files (.AI, .PSD, .INDD, or similar) will only be released if explicitly agreed upon in writing prior to project commencement and may be subject to an additional source file release fee.
5.2 Upon receipt of full payment and Client approval, the Client is granted a non-exclusive, non-transferable license to use the final delivered artwork for the intended commercial or personal purpose stated during intake.
5.3 The Clovr Stamp retains full copyright and ownership of all design concepts, drafts, unused proofs, and creative work product until full payment is received. Upon full payment, ownership of the final approved design transfers to the Client, except where source files or underlying third-party assets (such as stock elements or licensed fonts) are involved, which remain subject to their respective license terms.
5.4 The Clovr Stamp reserves an irrevocable, royalty-free right to display completed work in its portfolio, on social media platforms, and in promotional materials unless the Client submits a written request for confidentiality prior to project completion.
6. Client Responsibilities & Communication
6.1 The Client agrees to provide all required information, content, brand assets, and materials necessary for project completion in a timely and accurate manner. The Clovr Stamp shall not be held responsible for errors, delays, or design issues resulting from inaccurate, incomplete, or late submissions by the Client.
6.2 The Client must monitor and respond to all communications sent via email, the Client Portal, phone, or SMS that require a response. Failure to respond within seven (7) calendar days of any communication requiring a response may result in automatic project cancellation with no refund issued.
6.3 The Client warrants that all content, logos, images, and copy provided for use in the design are owned by the Client or that the Client holds appropriate rights and licenses to use such materials. The Clovr Stamp assumes no liability for intellectual property infringement arising from Client-supplied materials.
6.4 The Client is solely responsible for proofreading and approving all text content before final approval is granted. The Clovr Stamp is not liable for typographical errors approved by the Client.
7. Design Process & Purchasing Guidelines
7.1 To initiate a project: (1) select the desired service(s) on our website; (2) select the appropriate turnaround time and payment option; (3) complete checkout; and (4) upon receipt of the order confirmation, complete and submit the required Client Intake Form. The design process will not begin until the Intake Form and all required materials have been received.
7.2 The Client is strongly encouraged to have a clear creative direction — including brand colors, reference inspiration, and intended use — before purchasing. Designers at The Clovr Stamp are not able to produce work from no direction. Vague or absent briefs increase the likelihood of unused revisions and unmet expectations.
7.3 If the Client requires assistance clarifying their vision or project scope prior to purchase, a consultation is available for booking on our website.
8. Technical Issues
8.1 All design proofs and final files are delivered through the Client Portal. In the event of a technical issue preventing access to the portal, the Client must notify The Clovr Stamp promptly at graphics@theclovrstamp.com. Technical difficulties do not extend agreed-upon project timelines unless written notice has been provided and acknowledged by The Clovr Stamp.
9. Force Majeure & Health-Related Delays
9.1 The Clovr Stamp reserves the right to pause, reschedule, or extend the timeline of any project in the event of circumstances beyond our reasonable control, including but not limited to medical emergencies, illness, natural disasters, or other force majeure events. The Client will be notified promptly via email or the Client Portal with a revised estimated completion date. The Clovr Stamp shall not be liable for project delays resulting from such events.
10. Limitation of Liability
10.1 To the fullest extent permitted by applicable law, The Clovr Stamp's total liability to the Client for any claim arising out of or related to this Agreement shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.
10.2 The Clovr Stamp shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of business opportunity, or loss of data, even if advised of the possibility of such damages.
11. Governing Law & Dispute Resolution
11.1 This Agreement shall be governed by and construed in accordance with the laws of the applicable jurisdiction in which The Clovr Stamp operates, without regard to conflict of law principles.
11.2 Any disputes arising from this Agreement shall first be subject to good-faith negotiation between the parties. If a resolution cannot be reached within thirty (30) days of written notice of a dispute, the parties agree to submit the matter to binding arbitration before pursuing any other legal remedy.
12. Policy Amendments
12.1 The Clovr Stamp reserves the right to amend, update, or modify these terms at any time without prior notice. The most current version of this Agreement is available on our website. It is the Client's sole responsibility to review the current terms prior to purchasing any service or product. Continued use of our services following any modification constitutes acceptance of the revised terms.
ACCEPTANCE OF TERMS
By completing a purchase from The Clovr Stamp, you confirm that you have read, understood, and agree to be legally bound by this Client Service Agreement in its entirety.
